Terms of service

These Terms of Service (the "Terms") govern your access to and use of Captivar (the "Service"), operated by Paramount Tech Network OPC Private Limited, a One Person Company incorporated in India (CIN U72200CT2015OPC001710) with registered office at Panache Villa, 14 B, Vivekanand Nagar, Kohka, Bhilai, Chhattisgarh 490023, India ("Paramount", "we", "us", "our"). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Account and eligibility

You must be at least 18 years old and authorized to enter contracts on behalf of any business you represent. You are responsible for all activity under your account and for keeping your credentials secure. You must notify us promptly at [email protected] of any unauthorized use of your account or any breach of security.

2. The Service

Captivar is a white-label software platform providing visitor tracking, lead capture forms, an AI receptionist, booking flows, chat, and related agency-tooling features. The Service is provided via the marketing website at captivar.com, the application portal at app.captivar.com and portal.captivar.com, and code we provide for installation on customer-owned websites.

We may update, modify, or change the features and functionality of the Service from time to time. We will not materially reduce a feature you have already paid for during your current billing term without your consent.

3. Plans, billing, and cancellation

The Service is offered on a recurring subscription basis (monthly or annual). Subscription fees are billed in advance and are non-refundable except as required by law. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period and your subscription will not renew.

We may change plan pricing on 30 days' notice. Existing customers retain their current pricing through the end of their current billing term.

All fees are in US Dollars unless stated otherwise. Invoices to customers outside India are issued as export of services and are zero-rated under Indian GST law (IGST Act, Section 16). Indian customers, when applicable, will be invoiced with applicable GST. You are responsible for any other taxes, duties, or withholdings applicable in your jurisdiction.

4. Acceptable use

You may not use the Service to:

  Send spam, unsolicited messages, or any content prohibited by applicable law
• —
  Impersonate any person or misrepresent your affiliation with a business
• —
  Reverse-engineer, decompile, disassemble, or attempt to derive source code from the Service
• —
  Use the AI Receptionist to provide regulated advice (medical, legal, financial, tax) without appropriate human oversight and the disclaimers required by applicable regulation

  Install the tracking script or any Captivar code on a website you do not own or for which you have not obtained the legal right and consent to do so
• —
  Process special categories of personal data (Article 9 GDPR — health, race, political opinions, etc.) without first contacting us and entering written supplementary terms
• —
  Attempt to circumvent rate limits, security measures, or licensing restrictions
• —
  Use the Service for any unlawful purpose or in violation of any applicable law

5. Data ownership and processing

You own all data you and your end-visitors submit to the Service. You grant Paramount a limited, non-exclusive, worldwide license to process that data solely to provide the Service to you. We will not sell your data or use it to train AI models for third-party purposes.

You are the data controller of personal data collected through Captivar code installed on websites you operate. You are responsible for obtaining all consents required by applicable law from your end-visitors. Our processing of that personal data is governed by our Data Processing Agreement, which forms part of these Terms.

Our Privacy Policy describes how Paramount processes personal data and is incorporated into these Terms by reference.

6. Third-party services and sub-processors

The Service integrates with third-party services, including payment processing, transactional email, AI inference, video meetings, and uptime monitoring. A current list of our sub-processors is published at captivar.com/sub-processors. Your use of any third-party service via the Service is also subject to that third party's terms and privacy policy.

7. White-label use

If your plan includes white-label features, you may present the Service to your clients under your own brand within the limits permitted by your plan. You may not represent to your clients that the Service is operated by anyone other than you (or that Paramount endorses any of your clients), and you may not remove or obscure security notices, legal links, or required disclosures inserted by us. We may identify Captivar as our technology in a sub-processor disclosure required to be made by your clients to their data subjects under applicable privacy law.

8. Intellectual property

Captivar, the Service, all software, documentation, designs, trademarks, and content provided by Paramount remain the exclusive property of Paramount and its licensors. Nothing in these Terms transfers ownership of any Paramount intellectual property to you. The Service is licensed, not sold.

9. AI Receptionist — additional terms

The AI Receptionist feature uses third-party large language models to generate conversational responses. You acknowledge that AI-generated output may be inaccurate, incomplete, or otherwise unsuitable for a particular purpose. You are solely responsible for:

  Reviewing and approving the prompts, training material, and configuration used by the AI Receptionist for your account

  Adding human-review safeguards for any regulated decision (legal, medical, financial, accessibility, etc.)

  Including any disclaimer required by applicable law where the AI is shown to end-visitors

Paramount disclaims all liability for losses arising from your end-visitors' reliance on AI-generated content where you have not implemented appropriate human review.

10. Suspension and termination

We may suspend or terminate your access to the Service immediately if you breach these Terms, fail to pay fees when due (and the failure continues for 14 days after notice), or use the Service in a way that risks legal, security, or operational harm to Paramount or other customers. Where reasonable, we will give you notice and an opportunity to cure before suspending or terminating.

On termination, your right to access the Service ends. You may export your data for 30 days following termination through the export tools in your account, after which we will delete or anonymize your data in accordance with our Privacy Policy.

11. Warranty disclaimer

Except as expressly stated in these Terms, the Service is provided "as is" and "as available", and Paramount makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. Paramount does not warrant that the Service will be error-free, that AI-generated content will be accurate, or that data loss will not occur.

12. Limitation of liability

To the maximum extent permitted by applicable law, in no event will Paramount be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service, even if Paramount has been advised of the possibility of such damages.

Paramount's aggregate liability to you for any claim arising from or related to the Service is limited to the fees you have paid to Paramount under these Terms in the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be excluded under applicable law.

13. Indemnification

You will indemnify and hold Paramount harmless from any claim, demand, loss, or liability (including reasonable legal fees) arising out of your breach of these Terms, your unlawful or unauthorized use of the Service, your violation of any third-party right (including any privacy right of your end-visitors), or content you submit to the Service.

14. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of India, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts of Bhilai, Chhattisgarh, India, for any dispute arising out of or related to these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information. Nothing in this clause limits a consumer's right to bring proceedings in the courts of their place of habitual residence where required by mandatory consumer-protection law.

15. Changes to these Terms

We may update these Terms occasionally. Material changes will be announced by email to active account holders at least 14 days before they take effect. Continued use of the Service after the effective date of changes constitutes acceptance. The "Last updated" date at the top reflects the most recent revision.

16. Miscellaneous

  Entire agreement. These Terms, together with the Privacy Policy and DPA (where applicable), constitute the entire agreement between you and Paramount with respect to the Service.

  Severability. If any provision of these Terms is held unenforceable, the remaining provisions will continue in full force and effect.

  No waiver. No failure or delay by Paramount to enforce any right under these Terms constitutes a waiver of that right.

  Assignment. You may not assign these Terms without our prior written consent. Paramount may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets.

  Force majeure. Neither party is liable for failure to perform caused by events beyond its reasonable control.
